TERMS AND CONDITIONS OF GOODS DELIVERY

from China by "OPTMASTER" company

This document defines the terms of purchase and delivery of goods from China, as well as the procedure for receiving related services. Please read these terms carefully, as they contain important information about your rights and obligations.
By placing an order for delivery of goods from China, you ("Buyer" or "Client") accept these terms and agree to them. The contract for the organization of the search, purchase, and delivery of goods from China is considered concluded only after we confirm that your order has been accepted for execution. Confirmation of receipt of the order (of your proposal to conclude a contract) does not yet mean that we have accepted it.
PARTIES AND DEFINITIONS
Company "OPTMASTER" or "we" is a provider of delivery services for goods from China, as well as a provider of related services. The term "OPTMASTER" in this document refers to:

Entrepreneur Rajabov Takhir Rasulovich (Tax ID 452801444; Uzbekistan); For services provided in other countries: OPTMASTER LIMITED (RM C 13/F HARVARD COMM BLDG, 105-111 THOMSON RD WAN CHAI HK, HONG KONG). The details of the service provider (contracting party) will always be indicated on the invoice (or electronic invoice), as well as in the statement of your bank account.
"Client" or "you" means the person (natural or legal) who places an order for our services (search and delivery of goods from China, calculation of the cost of purchasing and delivering goods from China);
"Contract" means the contract containing these terms and conditions, concluded as a result of the acceptance of your order by OPTMASTER;
"Invoice" means the invoice or electronic invoice of the payment system issued to you;
"Order" means the order placed by you for the search and delivery of certain goods from China or for the receipt of related services.
"Confirmation of receipt of the order" means the written confirmation of the receipt of your order (offer to conclude a contract on the conditions specified in the order) by e-mail or other means, including telephone and messengers, which does not mean that we have accepted your order;
"Order confirmation (acceptance for execution)" means that we have accepted your order and entered into a contract with you for the delivery of goods from China (or for the receipt of related services) on the conditions proposed by you;
"Goods" means the goods specified by you in the order;
"Services" means any services provided by us (search for suppliers of goods in China, calculation of the cost of purchasing and delivering goods to your country, negotiations and placement of an order for a batch of goods, purchase of goods and acceptance of goods at the warehouse in China, inspection and storage of goods at our warehouse in China, as well as the organization of insurance and shipping of goods to your country);
"Terms" means these Terms and conditions of goods delivery.

1. GENERAL
The terms of delivery of goods ordered by you through our call center, one of our websites or through other communication channels (messengers and groups in social media networks) are applicable to this document.

2. ORDER PROCESSING
By placing an Order, you offer to enter into a contract with us for the delivery of Goods from China specified in your Order and for the provision of related Services on the terms set out in this document. The Order must contain a detailed description of the Goods and their technical characteristics, as well as your requirements for the conditions of their purchase, packaging, labeling, and delivery.
We may accept your offer to enter into a contract (accept the offer) or reject it at our discretion. The possibility of confirming the Order (acceptance of the Order for execution) and entering into a contract depends on the availability of the specified Goods from suppliers, the possibility of delivering the specified Goods to your country, as well as the completeness and correctness of the data you provided in the Order (including your name and details).
If we accept the Order for execution, we will notify you of this and send you a confirmation message. Typically, Order verification and confirmation takes no more than three (3) calendar days from the date of receipt. Until we confirm the Order in writing, we are not obliged to provide you with Goods and/or Services.
OPTMASTER may, at its discretion, accept or reject Orders or inform you of the impossibility of processing individual Orders. The information contained in our advertising, brochures, other written materials, and on the website, or provided by our agents or employees, is not an offer to enter into a contract.
You can place an Order: on our website - by filling out the form and clicking the submit button; or by phone, as indicated on the OPTMASTER website; using other communication channels (chats, messengers, etc.).
Please note that we do not deliver Goods to certain regions, as well as to some countries. If the delivery address specified in the Order is impossible to deliver to, we will notify you of this.
At the time of placing the Order, we will send you a confirmation of receipt of your Order by email. The confirmation of receipt of the Order may be generated automatically and is not a confirmation of acceptance of the Order for execution. By placing the Order, you must ensure that all information you provide in your Order is accurate, complete, and truthful.
If the Goods are in stock (the Service is available) and delivery to the specified address is possible, we will confirm acceptance of the Order for execution and send you a notification of acceptance of the Order by email. If we are unable to accept your Order, we will notify you by email or phone.
We keep records of placed Orders, sent notifications, and confirmed Orders, and keep them for a reasonable period of time. We recommend that you keep a copy of these Terms, along with a copy of your Order, confirmation of receipt of the Order, receipt of acceptance of the Order for execution, and invoice issued.

3. PRODUCT INFORMATION

We publish information about available Goods and Services in our catalog and on our website. We constantly update and review the information about Goods and Services offered in our catalogs. We may update, revise, and/or discontinue the sale of any Goods and Services at any time. We may also revise the prices of Goods and Services listed as available in our catalogs or on our website at any time.

Since the price of the Goods and the cost of their delivery are determined based on information provided by suppliers and carriers, the cost of purchasing and delivering Goods from China, as indicated in the preliminary estimate, is valid only on the day you receive the estimate.

We strive to maintain the availability of Goods and Services; however, their availability is constantly changing. Acceptance of your offer (order) depends on the possibility of supplying the corresponding Goods. OPTMASTER reserves the right to prioritize orders at its discretion. Any information about the size and dimensions of the Goods, as well as the cost of delivering the Goods, indicated in our catalogs or in the preliminary estimate of the cost of delivering the Goods from China, is approximate.

4. PRICE OF GOODS
The price of the Goods is determined based on the offer of the Supplier (Manufacturer) of the Goods, is valid at the time of placing the order, and may change. The price of the Goods does not include the cost of packaging, insurance, and delivery of the Goods, as well as commissions associated with payment for the Goods and its redemption. We will inform you of the price of the Goods and the approximate amount of related expenses after confirming the order.

5. DELIVERY COST
In case of receiving a request for the purchase and delivery of Goods from our catalog, we will immediately inform you of the approximate cost of delivering the Goods from China and provide a calculation of related expenses. In case of receiving a request for the purchase and delivery of Goods that are not in our catalog, we will send you an invoice for the calculation of the delivery cost of the Goods to your country.
Please note that we calculate the cost of delivery of the Goods based on information provided by the supplier about the weight and dimensions of the Goods in the manufacturer's standard packaging. However, such packaging does not always guarantee the safety of the Goods during transportation over long distances. Therefore, in case of a change in the packaging of the Goods (for example, performing a "crate" of the cargo), the volumetric weight of the Goods may change, and accordingly, the cost of delivering the Goods may increase within 20-30% of the initial estimated cost. In addition, the cost of delivering the Goods, indicated in the preliminary estimate, does not include the cost of storing the Goods in the carrier's warehouse. In case of expiration of the free storage period of the Goods in the carrier's warehouse, you will pay for storage according to the carrier's rates.
We publish information about available Goods and Services in our catalog and on our website. We constantly update and revise information about Goods and Services offered in our catalogs. We may update, revise and/or discontinue the sale of any Goods and Services at any time. We may revise prices for Goods and Services listed as available in our catalogs or on our website at any time.
As the price of a product and the cost of its delivery are determined based on information provided by suppliers and carriers, the cost of purchasing and delivering Goods from China, as indicated in the preliminary calculation, is valid only on the day you receive the calculation.
We strive to maintain the availability of Goods and Services, however, their availability is constantly changing. Acceptance of your offer (order) depends on the possibility of supplying the corresponding Goods. OPTMASTER reserves the right to prioritize orders at its discretion. Any information about the size and dimensions of the product, as well as the cost of delivering the product, indicated in our catalogs or in the preliminary calculation of the cost of delivering the product from China, is approximate.

6. OPTMASTER COMPANY COMMISSION
Our commission for organizing the delivery of goods from China and providing related services is ten (10) percent of the value of the goods ordered by you, but not less than 200 (two hundred) US dollars and 00 cents. In the event that it becomes necessary to purchase the goods and make payments in favor of the supplier of the goods, you will compensate us for the associated expenses in the amount of two (2) percent of the invoice amount of the supplier.
We will calculate the final amount of commission on the date of invoicing. Payment of the invoice issued indicates your agreement with the amount of commission and other commercial terms specified in the invoice.

7. PAYMENT TERMS
You can review the available payment methods for your order on our website. We reserve the right to change the payment method and/or refuse the previously offered payment method at any time at our discretion. In addition to the order amount, the amount debited may include additional bank and payment system fees.
If you make payment by bank transfer, terminal or cash at a financial institution, you must inform us of the payment made and provide us with an image of the documents confirming payment for the order. By making payment for the order, you acknowledge your agreement with these Terms and Conditions.
We may accept payment for an order before it is confirmed; however, receipt of payment for an order does not mean that we have accepted your order (accepted your offer) and entered into a contract. If we are unable to fulfill your order after receiving payment, we will refund the funds to you.
Please note that we constantly add new payment methods, so the payment details for our services may change. Do not make any payments until you receive written confirmation from us regarding the payment details.

8. RECEIPT OF GOODS AT OUR WAREHOUSE
After placing an order for a batch of goods from the Supplier (Manufacturer) and payment, the goods are received at our warehouse in China. We check the received batch of goods and compare the actual quantity and name of the goods with the accompanying documentation.

If you have not ordered an additional inspection/check of the goods and have not specified specific requirements for the inspection of the goods in your order, we will inspect the goods according to our standards, depending on the category of goods. In this case, we are not responsible for possible hidden defects and malfunctions of the goods that cannot be detected during a superficial inspection.


9. PACKAGING OF GOODS
If, due to the nature and characteristics of your goods, they may suffer mechanical damage during transport in standard factory packaging, we will recommend additional packaging (such as wooden crates) to ensure their safety during transportation. Since packaging affects the cost of delivering goods, we will calculate and inform you of the estimated cost of delivering the goods with additional packaging.

If you refuse to follow our recommendations for packaging and insist on shipping goods in factory packaging, we do not guarantee the safety of the goods and are not obligated to compensate you for any damages caused by damage or destruction of the goods during transportation.


10. COMPULSORY INSURANCE
To ensure the safety of the goods before their shipment from China, we require that the Goods be insured against loss, destruction, and confiscation during transportation. The cost of insurance is two (2) percent of the value of the shipment of goods.
You are obliged to reimburse us for the expenses related to the insurance of the goods on the day of payment for the goods.

11. DELIVERY
We deliver goods to certain regions of Ukraine, Kazakhstan, Uzbekistan, and EU countries. We are constantly working to expand the geography of our service. You can contact our support team to check the possibility of delivering goods to your region.
To deliver goods we will use the services of a reliable carrier who is our partner. In this case, we insure the goods against loss, complete destruction, and/or confiscation during transportation, and guarantee the safety of the goods until they reach the carrier's warehouse in your country.
At your written instruction, we can transfer the goods to a carrier named by you in China. In this case, we do not guarantee the safety of the goods in transit and are not responsible for their loss, destruction, and/or confiscation during transportation.

12. DELIVERY DATE
We strive to deliver the Goods as quickly as possible. However, there may be reasons beyond our control that prevent the Goods from being delivered on the estimated delivery date. Therefore, the estimated delivery dates for the Goods are only approximate.
We do not undertake to deliver the Goods within strictly specified deadlines. We are not responsible for any delays in the delivery of the goods if they occurred not due to our fault.

13. TRANSFER OF OWNERSHIP
In case of shipment of goods purchased upon your request, we reserve the right of ownership over the Goods until we receive in full all amounts due for these Goods and related Services. We are responsible for the Goods from the moment of their acceptance at our warehouse in China until their delivery to the carrier.
We reserve the right to refuse an order or transaction if you violate payment conditions or if your financial institution rejects your payment or demands that we refund any amount paid by you for Goods or Services for any reason (e.g., at your request for a refund).

14. DAMAGES COMPENSATION
We guarantee that the delivered Goods comply with your confirmed order and accompanying documentation. If the delivered Goods do not meet your order, we will accept returns and compensate you for damages. However, we are not responsible for the actual compliance of the Goods with the characteristics and qualities claimed by the manufacturer, as well as for the compliance of the Goods ordered by you with your expectations.
If the insured Goods are lost or confiscated during transportation, we will contact the insurance company, handle the formalities, and compensate you for their value. If you refused to insure the Goods and/or instructed the Goods to be shipped by a carrier named by you, we are not responsible for the loss, complete destruction, or confiscation of the Goods during transportation.

15. ORDER CANCELLATION

You may cancel a placed order before we place an order for a batch of goods with the supplier, provided that you compensate us for the actual expenses we have incurred. To do this, you must send us a written notice of cancellation by email to our email address specified in the Terms and on our website.

If we receive such notice before we place an order for a batch of goods with the supplier in China, we will refund the prepayment amount to you, less our expenses and compensation provided for in the contract.
If you refuse to perform the contract after we have placed an order for a batch of goods with the supplier, we will withhold the entire amount of the advance payment as a penalty for unilateral termination of the contract. If the amount of the advance payment does not cover our expenses related to the performance of the contract, you are obliged to compensate us for such expenses.

If you refuse to receive the Goods after their delivery (from the carrier's warehouse in your country), we have the right at our discretion to dispose of the Goods or sell them at market value. In this case, we will pay the carrier's fees from the proceeds of the sale of the Goods and withhold the remaining funds as a penalty for refusal to receive the Goods.


16. LIABILITY
In case of breach of obligations by the parties, provision of false information during the conclusion or performance of the contract, the parties shall be liable in accordance with the established procedure. We are responsible for the breach of the Conditions of the contract, while you are responsible for: breach of the Conditions and breach of payment terms; accuracy and correctness of registration and payment data provided by you during the order process; dissemination of false information about our company that tarnishes our business reputation.

17. PERSONAL INFORMATION
By placing an order, you agree to the processing of personal information, such as your name, address, phone number, contact information, and other personal information ("Personal Data") and consent to the collection and processing of your personal data on the specified terms for the purposes of concluding the contract and fulfilling the order.
If you do not agree with them, please stop using the website. Under certain circumstances, we may request additional personal information, such as copies of identity documents or credit cards, for example, to verify identity and prevent fraud.

18. CHANGE TO THIS TERMS

We reserve the right to change or amend these Terms by posting a corresponding notice and a new version of the Terms on our website (or chats and groups). We strongly recommend that you regularly check the date of the last revision of these Terms indicated at the top of the page.

You understand and agree that placing an order after the change of the Terms is considered by us as your acceptance of these Terms in the new version. If you object to the new version of the Terms, please refrain from placing an order.

19. APPLICABLE LAW
The relations between the parties shall be governed by the provisions of the applicable legislation of the country where the supplier of
Goods and/or Services is registered. The supplier's details are recorded in the issued invoice and displayed in your bank statement

20. CONDITIONS FOR ORGANIZATIONS
If you represent an organization, you declare and warrant that you are authorized to act on its behalf and have sufficient powers to accept these Terms and make us an offer to enter into a contract.
